CLUB RULES

  1. Club Name
    a) The name of the club is GAIA AFRICA(‘the Club’).
    b) The Club is a proprietary club, owned and operated by Voltaire Lifestyle Services Limited (the “Proprietor”).
  1. The Club
    a) The Club provides facilities and amenities to facilitate business and social intercourse of women connected or interested in Business and Industry, the Arts, Wellbeing, Entertainment, Philanthropy, Social and others (the “Objects”).
  2. Primary Concepts
    a) The Membership Committee nominated by the Proprietor from time to time (‘the Membership Committee’). shall deliberate upon and decide membership applications received. 
    b) The Club premises are located at No. 6 Agoro Odiyan Road, Off Adeola Odeku Street, Victoria Island, Lagos
    c) The Proprietor is responsible for providing the Club premises and all necessary facilities for carrying on the Club in accordance with the Objects of the Club and these Rules and Regulations.
    d) Membership shall consist of Members (hereinafter called “Members” and “Membership” shall be construed accordingly).
    e) The Rules shall be applicable to all Members and as appropriate, Members’ guests.
  1. Membership Committee
    a) The Membership Committee shall consist of senior Club Management and individual Members selected by the Proprietor from time to time at its sole discretion and shall meet once every month.
    b) The Membership Committee shall exercise the powers given to it under these Rules together with such other powers of management as it may from time to time undertake at the request of the Proprietor, who may veto or vary any decision of the Membership Committee. 

  2. Control and Management
    a) The Management shall have all administrative powers necessary to carry out the Objects of the Club in accordance with these Rules and Regulations.
  3. Details of Membership
    a) Every candidate for Membership must be at least thirty (30) years of age.
    b) Applications for Membership shall be made in writing on the form provided for that purpose by the Club and a valid form of identification may be required to verify Membership and eligibility for Membership.
    c) Every candidate for Membership after the Founder membership stage, shall be supported by a proposer and a seconder, both of whom shall be Members of the Club. Each proposer and seconder may be required by the Committee to send a letter in support stating how long they have known the candidate and giving relevant information in support of her belief that the candidate is qualified for Membership.
    d) Candidates for membership once accepted, shall become members once payment of their joining fee and first annual membership fee have been made in full to the Proprietor.
    e) Joining fees and subscriptions are non-refundable.
    f) Membership is terminated if annual fees and/or any other debts owed to the Proprietor incurred by a member are not cleared within 30 days from the date request for payment is made by the Club.
    g) The annual membership fee shall be fixed by the Proprietor.
    h) Membership is non-transferable.
    i) In the event that membership is cancelled or withdrawn, no membership fee (or part thereof), or any other payment made to the Proprietor shall be refunded.
    j) The Membership Committee shall have sole discretion as to who shall become a Member of the Club and shall have the right to refuse any application for Membership for any reason without giving any explanation.
    k) A successful candidate shall be notified of her election and shall become a Member of the Club and shall thereafter be entitled to all the benefits and privileges of such Membership. Members will be issued with a Membership card (which shall remain the property of the Club).
    l) All Members agree to be bound by, and to observe at all times, these Rules. 
    m) Any omission from, or inaccuracy in, the particulars relating to, or the description of, any candidate for Membership may render the candidate’s election void at the discretion of the Membership Committee.
    n) Members shall have the right to propose potential candidates for the Membership Committee’s consideration. The Membership Committee’s decision shall be final, and binding and the Membership Committee will not enter into any correspondence or consider any appeals.
    o) A list of the names and addresses of all Members of the Club must be kept on the Club premises and produced on demand for inspection by the relevant authorities. By accepting Membership, all Members agree that their personal information shall be subject to this Rule.
    p) The Membership Committee reserves the right, in its absolute discretion, to terminate the Membership of any Member for any reason and at any time.
    q) Membership benefits within GAIA and those provided by fellow members or Club Partners, are accessible for all fully paid up members and can be amended and/or withdrawn at any time without notice.
    r) The name of a Member whose Membership is terminated will be removed from the list of registered Members and she will immediately cease to be a Member of the Club.
    s) Members must produce their membership card upon entering the Club or upon request by Club authorities. Membership ID cards allow entry to the Club and should always be carried by the Member when visiting the Club.  The card may only be used by the Member registered on said card and is not transferable. Allowing another person to use your membership ID card may result in termination of membership.
    t) Mobile phone and laptop use are subject to the Club’s House Rules and permitted only in designated areas of the Club where Members are welcome to conduct business.
    u) Save when the Club is being used for a Private Event, Members will have:
    – Entry during the opening hours of the Club for themselves and two (2) additional guests
    – Free bag storage facilities (subject to availability)

  1. Guests
    a) Subject to the provisions of these Rules, Members may invite guests who have attained the age of 18 years, but no Member may bring more than two (2) guests at any one time, unless by prior approval of the Club management.
    b) The guest of a Member must be signed in through said Member’s Club profile and shall provide a valid form of identification if requested.
    c) The following may not be admitted as guests to the Club:
    – Former Members who have been expelled
    – Persons who, having applied for Membership, have been rejected
    – Persons who are under 18 years old
    – Members who are under suspension
    d) All Guests must abide by these Rules

8- Room Booking

Every member of the Club is free to visit and book any room of the Club, for various occasions (including meetings, seminars, tastings, parties…) including the larger areas, i.e. ground-floor Bistro or Members Lounge.

Rooms must be booked in advance via email (reservations@gaiaafricaclub.com) or by phone call to the Front Desk.  Reservations shall be on a first-come-first-served basis and according to availability.  Each room has a minimum spend requirement depending on room capacity, occupancy time and date/time of the reservation (e.g. busy periods, special dates…). The minimum spend includes beverage and/or food consumption and varies from one room to another. Members should request minimum spend amount when making enquiries.  

a) Booking Conditions & Cancellation

  1. Conduct of Members
    a) The Membership Committee, or any person(s) designated by the Membership Committee, shall have the right to refuse any Member or Guest admission to the Club.
    b) All Members and guests are required to maintain an acceptable standard of dress and behaviour, conducive and appropriate to the Objects and quality of the Club.
    c) The Membership Committee may require any Member infringing these Rules to leave the Club premises immediately and her Membership may be withdrawn as detailed in Rule 10 below.
    d) In the circumstances of withdrawal of membership for any of the reasons set out in these Rules, the Club may retain any membership fees paid prior to date of withdrawal of membership.
  1. Expulsion of Members
    a) The Membership Committee, or other officer so authorised by the Membership Committee, may expel from the Club (and subsequently terminate or suspend from Membership for a specific period) any Member whose conduct inside or outside the Club premises, in the opinion of the Membership Committee, or General  Manager might be injurious to the character or interests of the Club or render her unfit to associate with Members, or if any Member should wilfully remove, destroy or damage any item, article or property belonging to the Club, another Member, or a guest, whilst at the Club.
    b) For the avoidance of doubt, the following (non-exhaustive) list of behaviours / offences will lead to the immediate expulsion of a Member from the Club premises and may lead to suspension or termination of their Membership:

– Violent, abusive or intimidating conduct


– tribal, racial or any other form of discrimination, harassment or bullying towards any other Member or employee of the Club


– Rudeness or bad language to a Member or an employee of the Club


– Any action likely to bring the Club into disrepute


– Any action likely to prejudice the Club’s Premises Licence


– Inappropriate behaviour under the influence of alcohol


– Deliberate damage to Club property


– Any action, within or outside the Club, likely to cause a disturbance to residents in neighbouring properties

c) Before a Member is suspended or her Membership terminated, the alleged offender’s conduct shall be inquired into and the person involved shall be given the opportunity to defend herself and to justify or explain her behaviour. Having inquired into the events, if the Membership Committee is of the opinion that the Member is guilty of such conduct as mentioned above and has failed to justify or explain it satisfactorily, the Committee may either suspend or terminate the Membership of the offender at its discretion.

11. Sale and Supply of Alcohol

a) Sale or supply of alcohol in the Club is permitted within the hours and conditions permitted under the Club Premises Licence.

12. Hours of Opening
a) The Club shall be open to receive Members and their guests during the following hours:

Monday to Wednesday  – 07:30 to 22h30 

Thursday to Friday – 07h30 to 00h00

Saturday09h30 to 00h00

Sunday –  09h30 to 22h30

These hours may be lengthened or shortened at the discretion of the Club Management, subject to any additional statutory or other consents.

  1. General Rules
    a) The Club shall use all reasonable endeavours to ensure that no Member receives less favourable treatment on the grounds of their race, religion or belief, disability, marital status, age, nationality, colour, ethnic origin, political belief or other individual difference.
    b) The Club and/or Proprietor and/or Membership Committee and/or any employee or agent of the Club will not be held liable for any act of omission made by any Member and/or Guest and will be held harmless from any loss or damage arising to any Member and/or Guest whatsoever.
    c) Nothing in these Rules and Regulations shall be deemed to exclude the Club’s liability for death and/or personal injury arising out of any negligent or unlawful act by the Club.
    d) All property brought into the Club premises by any Member or her guest shall be at the sole risk of the person bringing such property onto the Club premises and neither the Proprietor, the Membership Committee nor any employee or agent of the Club shall be liable for any loss or damage to any such article, howsoever occasioned.
    e) The Club has established a Privacy Policy in respect of the confidence its Members place in it and in conformity with high standards of data protection to which it is committed. By becoming a Member, it is acknowledged that any personal information (“Personal Information”) that Members and/ or their guests make available to the Club either through the Membership process, access to the Club, and/or the Club website or otherwise is done so voluntarily and with the relevant Member’s/ guest’s knowledge and consent.
    f) Members agree to keep all passwords, user names, and/or any other identifying information used on or in connection with the Club and/or its website (the “Access Profile”) private and secure. The Access Profile is strictly personal and may not be shared with or disclosed to any other party. Members understand that the Access Profile is confidential and that they will be held responsible for any damage caused through use of the Access Profile by any unauthorised person.
    g) Members and guests must settle all bills incurred before leaving the Club each day. 
  1. CCTV Operates in the Club

The Club employs the use of CCTV cameras by trained CCTV Operators subject to relevant legislation in Nigeria. The system will be fitted with ‘privacy zones’ to ensure that private areas cannot seen. Images recorded by the CCTV cameras will be retained for fifteen (15) days and are then wiped unless required for an ongoing investigation by an enforcement agency. No images will be provided for commercial, entertainment or any other purposes.

  1. Alteration of Rules

 These Rules and Regulations may be revoked, supplemented or altered by the Management at any time at its sole discretion. Any such revocation, alteration or addition shall be deemed to have been brought to the notice of Members provided that a copy thereof is prominently displayed on the Club’s official website.

  1. Dissolution

The Club may be dissolved by the Proprietor at any time at its sole discretion with notice to Members.

  1. Disputes

Any dispute or difference which may arise in respect of these Rules and Regulations and/or in relation to Membership or operation of the Club shall be determined by the Management, whose decision shall be final and binding on all Members.

  1. Interpretation of the GAIA’s Club Rules

In the event of any dispute arising as to the meaning or interpretation of these rules, the matter shall be referred to the Management whose decision shall be final. The Management reserves the right to make amendments to the Club Rules at any time without prior consultation. Variation or revocation of the Rules shall be deemed to have been brought to the notice of the members provided that a copy thereof is duly posted on the GAIA website www.gaiawomenclub.com  with notice of such change to Members.
